These terms govern use of GateBud (the “Service”) by the organisation that has signed up for an account (“you”, “your organisation”, the “Customer”). The Service is provided by GateBud Limited ( NZBN 9429053810656, “GateBud”, “we”). By creating an account or using the Service you agree to these terms. If you don't agree, don't use the Service.

1. The service

GateBud is a QR code-based check-in and visitor/contractor management tool for site-based teams: visitors check in via a QR code or link, your organisation configures site questions and documents, and your team can view check-in records, manage sites, and run evacuation roll-calls. We may add, change, or remove features over time as the product develops.

2. Accounts and admin responsibility

Your organisation is responsible for all activity under your account, including the accuracy of information you configure (site questions, documents, retention settings) and for managing who on your team has access, including admin permissions. Keep login credentials confidential; tell us promptly if you suspect unauthorised access to your account.

You're responsible for making sure the questions and documents you configure, and how you use check-in records, comply with the law that applies to you (including health and safety and privacy law); GateBud is a tool, not legal or compliance advice.

3. Acceptable use

You agree not to:

  • use the Service to collect more personal information than you need for legitimate site check-in and safety purposes;
  • attempt to disrupt, overload, or gain unauthorised access to the Service or other customers' data;
  • use the Service for any unlawful purpose, or to store or transmit unlawful, defamatory, or harmful content in check-in questions, documents, or answers;
  • reverse-engineer, resell, or white-label the Service without our written agreement.

4. Pricing and billing

Fees, billing frequency, and any trial terms are as agreed in your order form, signup flow, or separate written agreement with us. We'll give reasonable notice before any price change takes effect for your next billing period. Overdue accounts may have access suspended after notice.

5. Data ownership

As between you and GateBud, your organisation owns the data you put into the Service: your organisation's configuration (sites, questions, documents) and the visitor/contractor check-in records collected through your sites. GateBud owns the Service itself: the software, design, and underlying technology. We process your data to provide the Service to you and do not use it to train unrelated products or sell it to third parties.

6. Availability

We aim to keep the Service reliably available, but we don't promise a specific uptime and the Service is provided “as is” without an availability service-level agreement, unless a specific SLA is agreed separately in writing. We'll try to give notice of planned maintenance where practical.

7. Liability

To the maximum extent permitted by law, GateBud's total liability arising out of or related to the Service in any 12-month period is limited to the fees your organisation actually paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, consequential, or special loss, including lost profits or lost data, except where that exclusion isn't permitted by law (for example, rights under the Consumer Guarantees Act that can't lawfully be excluded for a customer acting as a consumer).

8. Termination and getting your data out

Either party may terminate the agreement in accordance with the terms agreed at signup (or, absent a separate agreement, on reasonable written notice). On termination:

  • your access to the Service will end at the agreed date;
  • you can request an export of your organisation's data (site configuration and check-in records) in a common format (e.g. CSV) before your access ends;
  • we will delete or anonymise your organisation's data within a reasonable period after termination, except where we are required to keep it for legal reasons.

9. Changes to these terms

We may update these terms from time to time. We'll post the updated version here with a new “last updated” date; material changes will be notified to account admins by email where practical.

10. Governing law

These terms are governed by the laws of New Zealand, and the parties submit to the exclusive jurisdiction of the New Zealand courts.
